The Firm represented J.P. Morgan Overseas Capital Corporation, GPU Argentina Holdings, Inc. and CoInvest Argentina S.A. in connection with a sale of all of their shares of capital stock in Argentine electricity distributor, Empresa Distribuidora Eléctrica Regional S.A. (EMDERSA), to AEI Utilities, S.L., a wholly-owned subsidiary of AEI (formerly Ashmore Energy International). The consideration consisted of cash, non-exchangeable promissory notes and promissory notes exchangeable for shares of AEI. EMDERSA is a public company with securities listed for trading on the Bolsa de Comercio de Buenos Aires.
