Simpson Thacher Represents Celulosa Arauco y Constitución S.A. in the Acquisition of Tafisa Brasil S.A.

Simpson Thacher represented Celulosa Arauco y Constitución S.A. in connection with its acquisition of Tafisa Brasil S.A., a leading wood board manufacturer in Brazil, in a transaction valued at approximately $227 million including assumed debt.

Celulosa Arauco, through its Brazilian subsidiary Placas do Paraná, S.A., completed the acquisition of 100% of the share capital of Tafisa Brasil from SCS Beheer, B.V. and Tafiber–Tableros de Fibras Ibéricos, S.L., both subsidiaries of Portuguese conglomerate Sonae Indústria, SGPS, S.A.

Headquartered in Chile, Celulosa Arauco is one of the largest forestry enterprises in Latin America in terms of surface area and plantation yield and the production of market kraft woodpulp, sawn timber and wood panels.
