Simpson Thacher Represents the Initial Purchasers in Connection with SBA Telecommunications, Inc. $750 Million Senior Notes Offering

The Firm represented the initial purchasers in connection with the Rule 144A and Reg S offering of $375 million aggregate principal amount of 8.000% Senior Notes due 2016 and $375 million aggregate principal amount of 8.250% Senior Notes due 2019 by SBA Telecommunications, Inc., a wholly owned subsidiary of SBA Communications Corporation. The Notes are guaranteed on a senior unsecured basis by SBA Communications Corporation. Barclays Capital Inc., Deutsche Bank Securities Inc., J.P. Morgan Securities Inc., Citigroup Global Markets Inc., RBS Securities Inc., TD Securities (USA) LLC and Wells Fargo Securities, LLC acted as joint book-running managers for the offering. The offering closed on July 24, 2009.

SBA Communications Corporation is an independent owner and operator of wireless communications towers whose primary focus is the leasing of antenna space on its multi-tenant towers to a variety of wireless service providers under long-term lease contracts.
