Simpson Thacher Represents Underwriters in Connection with Oracle's $4.5 Billion Investment-Grade Note Offerings to Finance the Proposed Acquisition of Sun Microsystems

Oracle Corporation recently designated the Firm to act as counsel to Banc of America Securities, Morgan Stanley and Wachovia Capital Markets, the underwriters of $4.5 billion aggregate principal amount of Oracle's investment-grade notes offered to the public. The notes were issued in three tranches: five-year 3.750% notes, ten-year 5.000% notes and 30-year 6.125% notes. The net proceeds will be used for general corporate purposes, future acquisitions, including the proposed acquisition of Sun Microsystems, Inc. (scheduled to close later this summer), stock repurchases and repayment of indebtedness.
