Simpson Thacher Represents the Special Committee of the Board of Hearst-Argyle Television, Inc.

Simpson Thacher represented the Special Committee of the Board of Directors of Hearst-Argyle Television in connection with the recent tender offer by Hearst-Argyle Television's controlling stockholder, The Hearst Corporation, for all outstanding shares of Hearst-Argyle Television not already owned by The Hearst Corporation. Following completion of the tender offer on June 3, 2009, The Hearst Corporation implemented a short-form merger pursuant to which all remaining publicly-held shares were cancelled and converted into the right to receive an amount in cash equal to the offer price. As part of the merger, Hearst-Argyle Television changed its name to Hearst Television Inc.
