Simpson Thacher Represents Stora Enso and Celulosa Arauco in Largest Acquisition in Uruguay

Simpson Thacher represents Stora Enso and Celulosa Arauco in their joint acquisition from the Spanish pulp producer ENCE of a majority of its forestry operations in the Republic of Uruguay.  The assets to be acquired consist of approximately 340,000 acres of land and forest plantations and other operations owned by ENCE in the central and western areas of Uruguay. The transaction, currently expected to close in 2009, will be the largest M&A deal in Uruguayan history and will make Stora Enso and Celulosa Arauco together the largest private landowner in Uruguay. 

Stora Enso is a global paper, packaging and forest products company, listed in Helsinki and Stockholm, with 29,000 employees and 85 production facilities in more than 35 countries.  Celulosa Arauco is one of the largest forestry enterprises in Latin America in terms of surface area and plantation yield and the production of market kraft woodpulp, sawn timber and wood panels.
