Simpson Thacher Defeats Attempt to Enjoin Tender Offer

The Firm represents Neff Corp. in connection with its Offer to Purchase and Consent Solicitation regarding $230 Million in Senior Notes. Certain holders of loans under Neff's Second Lien Credit Agreement sued Neff in New York State Supreme Court, alleging that the Offer violated their contractual and other rights, and sought a temporary restraining order enjoining the closing of the Offer. After oral argument on December 15, Justice Barbara Kapnick denied the motion for a temporary restraining order.
