Simpson Thacher represented the selling shareholders in the sale to Advent Dominicana, an affiliate of the global private equity firm Advent International, of all of the shares of Aerodom. Aerodom is the largest private airport operator by passenger traffic in Central America and the Caribbean, managing six international airports in the Dominican Republic with more than four million passengers per year. The transaction was the first leveraged buyout in the Dominican Republic.
The Firm had represented Aerodom and its shareholders since 1999 when a consortium of four investors won a 20 year concession to operate the airports, assisting with the negotiation of the concession contract and several bank financings that were undertaken in subsequent years.
The Simpson Thacher team that represented the selling shareholders included Jaime Mercado, Ann Walker, Emma Walton, Saul de la Guardia and Borja Marcos (M&A); Peter Rosen (Tax); and Timothy Mulvihill (Environmental).
