The Firm represented the dealer managers, led by Banc of America and JPMorgan, in connection with an offering by R.H. Donnelley Inc. of approximately $412.9 million of 11.75% Senior Notes due 2015 in exchange for certain debt securities of its parent company, R.H. Donnelley Corporation. Deutsche Bank, Goldman Sachs, Wachovia, Credit Suisse, Morgan Stanley and Barclays acted as co-dealer managers for the exchange offers. The exchange offers and issuance of notes were conducted in reliance on Rule 144A and Regulation S under the Securities Act.
