Simpson Thacher Represents Underwriters in Debt Offerings for U.S. Industrial Companies

Simpson Thacher recently represented underwriters in public debt offerings for three different domestic industrial companies.

Dover Corporation – In March 2008, the Firm represented JPMorgan, Bank of America Securities LLC, Deutsche Bank Securities, Goldman, Sachs & Co., RBS Greenwich Capital and other underwriters in a $600 million debt offering by Dover Corporation. Dover sold $350 million of 5.45% Notes due 2018 and $250 million of Notes due 2038. Dover manufactures and sells a broad range of products for the industrial products, engineered systems, flood management and electronic technologies markets.

Martin Marietta Materials Inc. – In April 2008, the Firm represented JPMorgan, Bank of America Securities LLC, Wachovia Securities and other underwriters in a $300 million offering of 6.60% Senior Notes due 2018 by Martin Marietta Materials Inc. Martin Marietta produces aggregates for the construction industry as well as specialty products, including magnesia-based chemical products, dolomitic lime and structural composite products.

Hubbell Incorporated – In June 2008, the Firm represented JPMorgan, Morgan Stanley and other underwriters in a $300 million offering of 5.95% Senior Notes due 2018 by Hubbell Incorporated. Hubbell designs, manufactures and sells electrical and electronic products for the construction, industrial and utility sectors.
