Simpson Thacher Represents Diagnósticos da América in High Yield Offering

Simpson Thacher recently represented Brazilian medical diagnostics company Diagnósticos da América S.A. (“DASA”) in one of the first high yield offerings this year by a Latin American company. Through a finance subsidiary, DASA issued $250 million in 8.75% Senior Notes due 2018 in a Rule 144A/Regulation S offering that closed on May 29, 2008.
DASA operates over 250 service centers where patients obtain a full range of diagnostic tests from blood tests to MRIs and CAT scans. With over 10,000 employees, DASA is one of the largest such companies in Brazil.
Simpson Thacher had previously represented DASA in its initial public offering in 2004 and in a follow-on equity offering in 2006. This latest offering was one of the first to follow the upgrade of Brazil’s sovereign debt rating to investment grade by Standard & Poor’s in late April.
