Marni Lerner and Jonathan Youngwood to Speak at PLI Conducting Due Diligence Program

Simpson Thacher corporate partner Marni Lerner and litigation partner Jonathan Youngwood will speak at the Practising Law Institute’s "Conducting Due Diligence" program on June 2, 2008. The program will focus on issues surrounding due diligence for public offerings, private offerings, private debt and equity transactions and M&A transactions. Ms. Lerner will speak on the "Mechanics of Due Diligence - M&A and Similar Transactions" panel, addressing the role of independent advisors, documenting and reporting the due diligence, and team building. Mr. Youngwood will speak on a panel entitled "Due Diligence as a Statutory Defense," covering topics including federal securities laws, state securities and anti-fraud laws, the impact of Sarbanes-Oxley, and Securities Act reforms and Rule 144 changes.
