The Firm represented Kohlberg Kravis Roberts & Co. in connection with the £1.2 billion ($2.4 billion) acquisition of Northgate Information Solutions plc, an English public company listed on the London Stock Exchange and a market leader in providing specialist software, outsourcing and information technology services to human resources, local government, education and public safety markets. The acquisition was effected as a scheme of arrangement under English law.
Simpson led the negotiation of the debt financing, which consisted of £380 million and EUR360 million of senior facilities and a £175 million mezzanine facility, and also led the negotiation of the equity arrangements which KKR entered into with its consortium partners, GS Mezzanine Partners V, L.P., Park Square Capital I S.à r.l. and Barclays Capital Principal Investments Limited.
