Simpson Thacher Represents Cengage Learning, Inc. in Connection with its $750 Million Acquisition of the College Division of Houghton Mifflin Company

On November 30, 2007, Cengage Learning, Inc. agreed to acquire the assets of the College Division of Houghton Mifflin Company in a transaction valued at $750 million. Simpson Thacher represented Cengage Learning, Inc. in the transaction.  Cengage Learning was purchased by Apax Partners and Omers Capital Partners in July 2007.

Houghton Mifflin’s College Division publishes textbooks, study guides, technology tools, and other materials primarily for introductory-level college courses, in both print and electronic form.

The closing of the transaction is subject to customary closing conditions, including regulatory approvals, and is expected to close in the first quarter of 2008.
