The Firm is representing ITT Corporation in connection with its announced acquisition of EDO Corporation, a global aerospace and defense company, for $56 per share, or approximately $1.7 billion, including the assumption of approximately $120 million in debt and the conversion of convertible debt. The transaction is subject to customary conditions and regulatory approvals and is expected to close in early 2008.
