Simpson Thacher recently represented SLC Agrícola S.A. and selling shareholders in an initial offering of common shares. SLC Agrícola S.A. is a leading Brazilian agricultural company that produces cotton, soybean, corn and coffee. The transaction raised the U.S. dollar equivalent of approximately US$224 million in proceeds, of which US$164 million was a primary offering and US$62 million related to a secondary offering. The common shares were offered to the public in Brazil, with selling efforts to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons in Europe under Regulation S.
