Simpson Thacher Represents Mellon Financial Corporation in $29 Billion Merger with The Bank of New York

The Firm is representing Mellon Financial Corporation in its merger with The Bank of New York Company, Inc., which will create the world's largest securities servicing and asset management firm. The new company formed by the merger, which will be called The Bank of New York Mellon Corporation, will be the world’s leading asset servicer, with $16.6 trillion in assets under custody, and corporate trustee, with $8 trillion in assets under trusteeship, and will rank among the top 10 global asset managers, with more than $1.1 trillion in assets under management.
In the transaction, Mellon shareholders will exchange their Mellon shares for stock of a newly-formed holding company on a one-for-one basis, and Bank of New York's shareholders will receive stock in the new holding company with an implied market value (based on pre-announcement prices) of over $29 billion.
