Simpson Thacher represented The Carlyle Group in the formation of its second Japanese private equity fund, Carlyle Japan Partners II, L.P. ("CJP II"). CJP II raised ¥215.6 billion (approximately $1.8 billion), making CJP II the largest Japan-dedicated private equity fund ever raised. Japanese institutional investors have committed about half the fund's capital, with the remaining capital being committed by a wide range of international institutional investors. CJP II follows on Carlyle’s existing and highly successful ¥50 billion private equity fund which has made seven investments in sectors including healthcare, industrial, automobile, business outsourcing, media and telecommunications.
The Simpson Thacher team representing Carlyle included Tom Bell, Jason Herman, David King, Matt Meyer and former associate Yong Ren (corporate); Brian Robbins and Jeanne Annarumma (ERISA); John Hart and former associate Rachel Birnbaum (tax); Mark Lab and Sean Cotton (blue sky); and paralegal Regina Liang.
