Simpson Thacher Tokyo Plays Prominent Role in Capital-Raising by Japanese Banks in the First Quarter of 2006

During the first quarter of 2006, Simpson Thacher's Tokyo office participated in raising over $8 billion in capital on behalf of some of Japan's leading financial institutions. Transactions closed during the quarter included:

Acting as issuer's counsel to Shinsei Bank in its issuance of:

* $700 million non-cumulative perpetual preferred securities of Shinsei Finance II

* $775 million step-up non-cumulative perpetual preferred securities of Shinsei Finance

* €1 billion step-up callable subordinated notes due 2016

Acting as issuer's counsel to Mizuho Financial Group in its issuance of:

* $600,000,000 non-cumulative perpetual preferred securities of Mizuho Capital Investment (USD) 1 Limited

* €500,000,000 non-cumulative perpetual preferred securities of Mizuho Capital Investment (EUR) 1 Limited

Acting as underwriters' counsel to Merrill Lynch, JPMorgan, Deutsche Bank, Mitsubishi UFJ Securities and Nomura Securities in connection with Mitsubishi UFJ Financial Group's issuance of:

* $2,300,000,000 fixed/floating rate non-cumulative preferred securities of MUFG Capital Finance 1

* €750,000,000 fixed/floating rate non-cumulative preferred securities of MUFG Capital Finance 2

* ¥120,000,000,000 fixed/floating rate non-cumulative preferred securities of MUFG Capital Finance 3

These offerings involved the entire Tokyo office, as well as Mark Lab (Blue Sky), Jeanne Annarumma (Erisa), Marcy Geller, Hallie Grainer and Helena Wolin (Tax) in New York.
