Simpson Thacher recently represented Japan's SUMCO Corporation in its initial public offering. The global offering of 48 million shares of common stock raised total proceeds of approximately 158 billion yen, or over $1.4 billion, for SUMCO, making it Japan's largest IPO in 2005. The offering was conducted as a public offering in Japan, with a listing on the First Section of the Tokyo Stock Exchange, and an international offering to institutional investors under Regulation S and Rule 144A.
SUMCO is the world's second largest maker of silicon wafers, the principal material used in the manufacture of semiconductor devices. The company was formed in 1999 as a joint venture combining the silicon wafer businesses of Sumitomo Metal Industries, Ltd. and Mitsubishi Materials Corporation.
