Simpson Thacher represented the underwriters of the recent follow-on common stock offering by Google, Inc., the Mountain View, California-based technology company. The offering, joint-managed by Morgan Stanley and Credit Suisse First Boston, was valued at approximately $4.35 billion, including shares issued as a result of the exercise of the underwriters' over-allotment option. This offering has been reported as the largest follow-on offering ever. Simpson Thacher also represented the underwriters in connection with Google's August 2004 initial public offering. The Simpson Thacher team included Bill Hinman, Sarah Cogan, Gregory King and Jamie Evans (Corporate) and Jeffrey Ostrow and Daniel Frommer (Intellectual Property and Litigation) and Mark Lab (Blue Sky) and Sean Cotton.
