Simpson Thacher Represents Initial Purchasers in $225 Million Offering of Senior Notes by Dow Jones

The Firm recently represented JPMorgan, Merrill Lynch and other initial purchasers in an offering (Rule 144A/Regulation S) of $225 million of 3.875% Senior Notes due 2008 by Dow Jones & Company, Inc.

Dow Jones is the publisher of The Wall Street Journal and also operates the Dow Jones newswire service. The offering was conducted to finance Dow Jones’ recent acquisition of MarketWatch, which operates financial and business websites.

The transaction constituted a rare debt securities offering for Dow Jones, which has not had any long-term debt securities (other than commercial paper) outstanding in recent years.

The Simpson Thacher team for the transaction included Glenn M. Reiter, Nicol DeCarli and Charles Glass (Corporate) and Nancy Mehlman and Jeffrey Mensch (Tax).
