Corporate Partners Mario Ponce and Jakob Rendtorff were profiled among the 2020 “Dealmakers of the Year” by The American Lawyer for advising Versum Materials in its approximately $6.5 billion acquisition by Merck KGaA. The profile highlighted their work guiding Versum through several rapid-fire developments: a proposed merger with Entegris, Inc., followed by an unsolicited bid from Merck KGaA; a proxy contest and hostile tender offer; and, ultimately, the successful negotiation of an increased bid from Merck KGaA that the Versum Board of Directors deemed superior to the Entegris transaction. Concurrently with entering into a definitive agreement with Merck KGaA, Versum terminated its previously announced merger of equals with Entegris.
