Simpson Thacher is representing Medline Industries (“Medline”) in connection with its definitive agreement to acquire the global surgical solutions business of Ecolab Inc. (“Ecolab”) (NYSE: ECL), including the industry-leading Microtek product lines, for $950 million in cash. Once closed, the acquisition will provide Medline with innovative sterile drape solutions for surgeons, patients, and operating room equipment, as well as Ecolab’s fluid temperature management system. The transaction is expected to close in the second half of 2024, subject to standard closing conditions and regulatory approvals.
