Silver Lake Purchases $600 Million of 2.95% Senior Unsecured Convertible Notes of AMC

Simpson Thacher represented Silver Lake in connection with its purchase of $600 million of 2.95% Convertible Senior Notes due 2024 of AMC Entertainment Holdings, Inc. (“AMC”). A portion of the proceeds from the issuance of the notes will be used by AMC to repurchase shares of the company from affiliates of Dalian Wanda Group Co. Ltd., AMC’s controlling shareholder, and to pay a special dividend to its shareholders.

AMC is the largest movie exhibition company in the U.S., in Europe and throughout the world with more than 1,000 theatres and nearly 11,000 screens across the globe.
