Partners Steve Cutler, Brooke Cucinella and Mike Osnato, and Counsel Jon Menitove authored an article titled, “Developments in insider trading enforcement: The House of Representatives passes insider trading bill,” which was published by Westlaw Practitioner Insights Commentaries. The article discusses the Insider Trading Prohibition Act, recently passed by the U.S. House of Representatives, that amends the Securities and Exchange Act of 1934 to include a new section that expressly defines the elements of insider trading for the first time. The article also argues however that, following a last minute amendment, the proposed legislation maintains the status quo and thus the ambiguity surrounding how insider trading is defined, rather than bringing clarity to the law.
