Corporate Partner A.J. Kess was quoted in the Wall
Street Journal in connection with the SEC’s new guidelines that make it more difficult for companies to exclude certain shareholder proposals from their proxy materials. A.J. shared advice for companies adjusting to the new guidance. “I think the advice to companies will be that unless something is logically inconsistent or polar opposite, you will likely have to include the shareholder proposal,” said A.J., commenting on the SEC’s new guidelines.
A.J. and Corporate Associate Yafit Cohn were also quoted in Law360 and Bloomberg BNA in connection with the guidelines. Yafit, discussing the likely impact of the new guidance on proxy access proposals and special meeting proposals, remarked, “In most instances, those will no longer be candidates for no-action relief under Rule 14a-8(i)(9).”
