Private Equity Investments in Portfolio Company Debt: An Overview of Legal Issues, 2009
Many private equity sponsors are considering repurchases of debt instruments issued by their portfolio companies due to depressed trading levels, and this interest will only increase with the passage of the stimulus bill which contains tax relief that may accelerate such transactions. In conducting such transactions, certain legal issues should be considered to ensure compliance of such investments with applicable legal and contractual restrictions.
