Simpson Thacher Attorneys Author Article on Supreme Court Ruling on Pure Omissions Under Rule 10b-5(b)

Litigation Partners Lynn Neuner, Jonathan Youngwood, Stephen Blake, Peter Kazanoff and Craig Waldman authored an article titled, “Supreme Court: Pure Omissions Not Actionable Under Rule 10b-5(b),” which was published by The Corporate Governance Advisor. The article discussed the U.S. Supreme Court’s recent unanimous opinion in Macquarie Infrastructure Corp. v. Moab Partners, L.P., which held that a company’s failure to make disclosures required by Item 303 of Regulation S-K cannot in itself support a private securities claim under Section 10(b) of the Securities Exchange Act. The article further detailed the background and procedural history of the case, as well as explored the Court’s distinction between half-truths and pure omissions.
