Corporate Partners Mark Brod, Joe Kaufman, Rajib Chanda and John Ericson, Counsel Jamie Hahn and Associate Arielle Katzman authored an article titled, “Structure for SPACs: SEC Publishes Final Rules,” which was published by Harvard Law School Forum on Corporate Governance. The article detailed the SEC’s new rules to regulate IPOs by SPACs and subsequent business combination transactions between SPACs and target companies (de-SPAC transactions).
