Simpson Thacher Partners Author Article on Legal Issues for Companies Amidst Global COVID-19 Outbreak

Partners Bryce Friedman, Karen Hsu Kelley, Jonathan Ozner, Nick Goldin, Joe Kaufman and Bill Russell authored an article titled, “COVID19 Legal Issues: Company Obligations and Risk,” which was published by the Harvard Law School Forum on Corporate Governance. The article analyzes a range of legal issues that companies may have to confront relating to the COVID-19 outbreak across the globe and resulting business disruption. These include questions about disclosure obligations to investors, the scope of commercial insurance coverage for COVID-19-related losses, obligations to maintain a safe workplace and obligations to perform under contracts entered into under vastly different market conditions. The article also outlines some suggested considerations and notes that while the circumstances presented by COVID-19 are still evolving, thinking about the direct and collateral consequences of the continuing spread of the illness and developing a comprehensive, thoughtful strategy will help companies mitigate risk while preserving their commercial strength through the current uncertainty.
