Simpson Thacher represents CION Grosvenor Infrastructure Fund (the “Fund”), a non-traded, semi-liquid perpetual fund registered as a closed-end investment company under the 1940 Act, in connection with its formation, seeding structure and continuous public offering. The Fund has an innovative master-feeder interval fund structure that allows individual investors, through their financial advisors, access to GCM Grosvenor’s institutional private infrastructure platform. CION Grosvenor Management, LLC, a joint venture between CION and GCM Grosvenor, is the Fund’s investment adviser.
The Fund will seek to achieve its investment objective by generating attractive risk-adjusted returns and current income through a variety of direct and indirect investments in infrastructure and infrastructure-related assets or businesses. Before commencing distribution, the Fund anticipates merging with a seasoned portfolio that includes the traditional infrastructure sectors of transportation, digital, energy and energy transition, as well as new infrastructure sectors including supply chain and logistics and infrastructure adjacencies.
The Simpson Thacher team included Ryan Brizek, JJ Dikmak and Sara Uhlenbecker (Registered Funds); Drew Purcell (Tax); and Erica Rozow and Jeanne Annarumma (ERISA).
