Simpson Thacher represented Pan American Energy, S.L., Argentine Branch (a branch of Pan American Energy, S.L., a Spanish limited liability company) in connection with the offering by the Branch of US$300 million aggregate principal amount of its 9.125% Senior Secured Notes due 2027 pursuant to Rule 144A and Regulation S under the U.S. Securities Act of 1933. Simpson Thacher also represented the Argentine Branch in its cash tender offer for its 7.875% Senior Notes due 2021. The Argentine Branch intends to use the net proceeds from the offering to finance development projects in the areas of Cerro Dragón Lindero Atravesado, Aguada de Castro and Aguada Pichana Oeste in Argentina.
