Simpson Thacher Represents Initial Purchasers in $700 Million Senior Notes Offering by CommScope

The Firm represented the initial purchasers, led by J.P. Morgan Securities LLC, in connection with the Rule 144A and Regulation S offering by CommScope, Inc. (“CommScope”), a subsidiary of CommScope Holding Company, Inc., of $700 million aggregate principal amount of 7.125% Senior Notes due 2028. The net proceeds of the notes offering, together with cash on hand, were used to (i) redeem and retire all of CommScope’s Senior Notes due 2021, (ii) redeem and retire all of CommScope’s Senior Notes due 2024 and (iii) pay fees and expenses related to the foregoing.

CommScope is a global provider of infrastructure solutions for communication and entertainment networks.
