Simpson Thacher represented the initial purchasers, led by Citigroup Global Markets Inc., HSBC Securities (USA) Inc., J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, in connection with the Rule 144A/Regulation S offering by Broadcom Inc. (NASDAQ: AVGO) of $8 billion aggregate principal amount of Senior Notes over four tranches.
Broadcom Inc. (“Broadcom”) plans to use the net proceeds of the notes offering to repay certain of its or its subsidiaries’ existing indebtedness, including, but not limited to, repayment of certain amounts outstanding under its November 2019 credit agreement.
The Firm also represented Credit Suisse Securities (USA) LLC, among others, as dealer-managers for Broadcom’s offers to exchange with respect to certain series of its outstanding notes maturing between 2021 and 2024 for new series of Senior Notes maturing in 2026 and 2028.
