Simpson Thacher Represents Initial Purchasers in $300 Million Senior Notes Offering by EnerSys

Simpson Thacher represented J.P. Morgan Securities LLC and the other initial purchasers in connection with the offering by EnerSys of $300 million aggregate principal amount of 4.375% Senior Notes due 2027 pursuant to Rule 144A and Regulation S, which closed on December 11, 2019. EnerSys intends to use the proceeds from the notes offering to repay a portion of its revolver borrowings under its existing credit facility.

EnerSys is the world’s largest manufacturer, marketer and distributor of industrial batteries. The company also manufactures, markets and distributes products such as battery chargers, power equipment, battery accessories and outdoor cabinet enclosures. EnerSys sells to customers in over 100 countries around the world.
