Simpson Thacher Represents Citigroup and J.P. Morgan in Interbank’s Investment Grade Bond Offerings and Tender Offer

The Firm represented Citigroup and J.P. Morgan (i) as initial purchasers in connection with the offering by Banco Internacional del Perú S.A.A. (“Interbank”) of an aggregate principal amount of US$400 million 3.25% Senior Notes due 2026, which was conducted in reliance upon Rule 144A and Regulation S under the Securities Act, and (ii) as placement agents in the offering of an aggregate principal amount of S/312 million 5% Senior Notes due 2026, which was conducted in reliance upon Regulation S under the Securities Act.

The Firm also represented Citigroup and J.P. Morgan as dealer managers and solicitation agents in connection with a concurrent cash tender offer and consent solicitation whereby Interbank offered to purchase any and all of its outstanding 5.75% Secured Notes due 2020.

Interbank is a leading provider of a wide range of financial products and banking services for retail customers and commercial clients in Peru. Interbank’s direct parent company, Intercorp Financial Services (NYSE: IFS), conducted its initial public offering, in which the Firm represented the underwriters, in July 2019.
