Michael Wolitzer Quoted in The Wall Street Journal Pro Private Equity

Corporate Partner Michael Wolitzer was interviewed in The Wall Street Journal Pro Private Equity as part of a Q&A roundtable with private equity attorneys on how they see changes in the regulatory and political environment affecting the industry. In the piece, titled “In Their Own Words With Simpson Thacher & Bartlett’s Michael Wolitzer,” Michael discusses regulatory issues affecting fund formations, saying “[t]he biggest issue with the SEC continues to be allocation expenses and other charges between portfolio companies and funds, on one hand, and the management company on the other. Although the SEC has become more balanced in its approach to the private-equity industry, the allocation of these charges needs to be permissible and clearly documented to avoid issues with the SEC on an exam.” He also discussed fund terms that are being heavily negotiated between limited and general partners, and potential pitfalls for first-time fund managers.
