Simpson Thacher is representing The Carlyle Group (“Carlyle”) in a preferred equity investment in CommScope Holding Company, Inc. (“CommScope”) in connection with CommScope’s announced acquisition of ARRIS International plc (“ARRIS”) for approximately $7.4 billion. Investment vehicles affiliated with Carlyle agreed to purchase $1 billion of CommScope’s Series A Convertible Preferred Stock. The acquisition is subject to customary closing conditions, including obtaining regulatory approvals, and is expected to close in the first half of 2019.
