Simpson Thacher represented J.P. Morgan Securities LLC and the other initial purchasers in connection with the inaugural 144A/Regulation S offering by Charles River Laboratories International, Inc. (“Charles River”) of $500 million aggregate principal amount of 5.5% Senior Notes due 2026 (the “notes”). Simpson Thacher also represented JPMorgan Chase Bank, N.A., as administrative agent, in connection with the refinancing of Charles River’s $2.3 billion senior secured credit facilities. Charles River intends to use the net proceeds from the offering of the notes, together with borrowings under the amended and restated credit facilities, to fund its acquisition of MPI Research, Inc. and to pay related fees and expenses.
