Simpson Thacher represented the underwriters, led by Wells Fargo Securities, LLC, in connection with a SEC-registered offering by WPX Energy, Inc. of $150 million aggregate principal amount of its 5.25% Senior Notes due 2024. The notes were issued as additional securities under an indenture dated as of September 8, 2014, as supplemented by a supplemental indenture dated September 8, 2014. Following this offering, there were $650 million aggregate principal amount of the Company’s 5.25% Senior Notes due 2024 outstanding under the indenture. WPX Energy used the net proceeds from the offering, together with borrowings under its credit facility, to fund tender offers to purchase for cash up to $150 million aggregate principal amount of senior notes previously issued by WPX Energy, settlement of which occurred concurrently with the completion of the notes offering.
Simpson Thacher also represented Wells Fargo Securities, LLC as dealer manager in connection with such tender offers.
