Simpson Thacher Represents Initial Purchasers in Notes Offering by IHS Markit

Simpson Thacher represented Merrill Lynch, Pierce, Fenner & Smith Incorporated and the other initial purchasers in connection with the offering by IHS Markit Ltd. (“IHS Markit”) of $500 million of 4.75% Notes due 2025 pursuant to Rule 144A and Regulation S. The offering closed on February 9, 2017. IHS Markit intends to use the proceeds from the notes offering for working capital and other general corporate purposes, which initially will include repayment of IHS Markit’s indebtedness under its revolving credit facility and may in the future include share repurchases pursuant to a previously announced share repurchase program.
