BRF S.A. Completes €500 Million “Green Bonds” Offering

Simpson Thacher recently represented Brazilian food producer BRF S.A. in an offering of €500 million aggregate principal amount of 2.75% “Green Bonds” due 2022. The offering was conducted in reliance upon Rule 144A and Regulation S under the U.S. Securities Act of 1933. The offering is compliant with the Green Bond Principles published by the International Capital Market Association, making this the first "Green Bond" issued by a Brazilian borrower. Net proceeds from the offering will be used to fund green projects in several areas.
BRF S.A. is the largest food company in Brazil and one of largest food exporters in the world. The company focuses on the production and sale of poultry, pork, beef cuts, milk, dairy products and processed food products.
