Simpson Thacher represented the underwriters in a public offering of Facebook, Inc.’s Class A Common Stock. The offering was conducted in connection with the inclusion of Facebook, Inc.’s Class A Common stock in the S&P 500 Index, which is comprised of 500 common stocks that Standard & Poor’s, a division of McGraw-Hill Financial Inc., selects. Facebook sold 27,004,761 shares and selling stockholders sold 42,995,239 shares. J.P. Morgan, BofA Merrill Lynch, Morgan Stanley and Barclays were joint bookrunners for the offering.
