Simpson Thacher Represents Dealer Managers in Private Exchange Offer by WPP

The Firm represented the dealer managers in connection with a Rule 144A/Regulation S private exchange offer by WPP plc and certain of its subsidiaries of up to $450 million principal amount of 4.75% Senior Notes due 2021 issued by WPP Finance 2010 for 5.875% Senior Notes due 2014 issued by WPP Finance (UK). The new 4.75% notes are guaranteed by WPP plc and certain of its subsidiaries. As previously reported, the Firm also represented the initial purchasers in a Rule 144A/Regulation S cash offering of $500 million principal amount of the 4.75% notes.
The WPP group comprises one of the largest communication services businesses in the world. The group’s largest segment is advertising and media investment management, where it operates the advertising networks Ogilvy & Mather Worldwide, JWT, Y&R, Grey, Bates 141 and the United Network as well as media investment management companies such as MediaCom, MEC, Mindshare and Maxus.
