Simpson Thacher corporate partner Joseph H. Kaufman will speak at Practising Law Institute's “Securities Offerings 2011: Getting Your Deal Done” program on April 13, 2011 in New York.  Mr. Kaufman will speak on three panels.  The first panel entitled “Introduction to the Law of Securities Offerings” will address understanding the legal framework for securities offerings under the Securities Act and publicity restrictions and information practices.  The second panel entitled “Preparing Your Registration Statement, including Important Financial Statement and Accounting Disclosures” will address preparation of the registration statement, discussion of the critical financial information that forms the backbone of disclosures in securities offerings, substantive financial disclosure and accounting problem areas relevant to securities offerings and discussion of rules on use of non-GAAP measures such as EBITDA.  The third panel entitled “Due Diligence and the Offering Process” will address liability provisions and remedies under the Securities Act, importance of due diligence in the offering process, role of participants in the offering process and ethical issues in the underwriting process: lawyers as gatekeepers.
