The Firm represented Andrade Gutierrez Concessões S.A., a Brazilian concession company, and ADC & HAS Corporation, an affiliate of the Houston Airport System (“Buyers”) in connection with the acquisition of Alterra Partners Costa Rica S.A. (“APCR”), the operator of the Juan Santamaría International Airport in Costa Rica, from Bechtel Corporation and TBI Airport Management, Inc.
International Finance Corporation (“IFC”) and the hedge providers (“Finance Parties”) were the main counterparties in the acquisition as the financing to APCR was accelerated by the Finance Parties. In connection with the transaction, the Finance Parties extended a 24-month bridge loan to the Buyers and APCR. The Government of Costa Rica approved the transaction on July 20, 2009.
