The Firm recently acted as counsel to Merrill Lynch and Nomura Securities International, Inc., as representatives of the underwriters of an approximately $2.5 billion secondary offering of shares and ADSs of Toyota Motor Corporation. Securities offered in the United States were registered by Toyota on an automatic shelf registration statement. The selling shareholder was the Banks' Shareholdings Purchase Corporation, a government-supported entity organized in 2002 to acquire cross-shareholdings of Japanese financial institutions, and the offering of Toyota shares was the first global offering conducted by the BSPC.
