Simpson Thacher is representing Hellman & Friedman in connection with its acquisition of Activant Solutions, Inc. from Hicks Muse. Activant, a premier technology provider of vertical business management solutions, serving small- and medium-sized retail and wholesale distribution businesses, provides customers with software, professional services, content, supply chain connectivity, and analytics. More than 30,000 customer locations use an Activant solution to manage their day-to-day operations. The transaction is subject to customary closing conditions. Simpson Thacher is also representing Hellman & Friedman in connection with debt tender offers for outstanding Activant notes, and new financing arrangements. The transaction is expected to close by June 2006.
