Simpson Thacher is acting as U.S. counsel to Placer Dome Inc., a global gold mining company headquartered in Vancouver, Canada, in connection with the offer by Barrick Gold Corporation to acquire all of Placer Dome's shares. Following Barrick's commencement of an unsolicited takeover offer, which was rejected by Placer Dome's board of directors, Placer Dome and Barrick negotiated a revised, increased offer that is now unanimously recommended by Placer Dome's board. The revised offer values the transaction at approximately $10.4 billion on a fully diluted basis.
